These Distributor Terms & Conditions govern your participation as a distribution partner on the Selligate platform. By registering as a Distributor or accepting product assignments through Selligate, you agree to these Terms.
1. About Selligate
Selligate Technologies Limited operates an e-commerce fulfillment network that connects merchants with independent distributors for warehousing, order fulfillment, delivery, and payment remittance across Nigeria.
As a Distributor, you play a critical role in ensuring fast, reliable, and professional order fulfillment.
2. Your Responsibilities
As a Distributor, you agree to:
- Provide secure storage for products assigned to you.
- Maintain accurate inventory records.
- Keep all assigned products safe and in good condition.
- Fulfill customer orders as quickly as possible.
- Deliver orders professionally.
- Update delivery status through the Selligate application.
- Keep merchant and customer information confidential.
- Conduct all business only through the official Selligate platform.
- Avoid conflicts of interest, insider dealings, or competing activities that may affect your obligations to Selligate.
3. Warehousing
Distributors providing warehouse services are responsible for:
- Securely storing assigned inventory.
- Keeping products organized and accessible.
- Maintaining accurate stock records.
- Preventing loss or damage while products remain in their custody.
4. Delivery Standards
To maintain service quality, Distributors must:
- Deliver orders within 3 hours of receiving an order notification whenever operationally possible.
- Treat customers professionally.
- Follow Selligate delivery procedures.
- Report delays or delivery issues immediately through the platform.
Customer satisfaction is an important performance metric for all Distributors.
5. Payment Collection & Remittance
Where payment is collected from customers:
- Payment must be remitted to the designated Selligate bank account immediately after successful delivery.
- Delivery status and payment confirmation must be updated through the Selligate application.
- All payment records must be accurate and transparent.
Failure to remit collected funds promptly may attract penalties under these Terms.
6. Late Remittance
Collected customer payments must be remitted immediately.
If payment is not remitted within 24 hours after a successful delivery:
- Interest of 20% per day may be charged on the outstanding amount until full remittance is received.
7. Inventory Management
Distributors must:
- Verify inventory received from Selligate.
- Report shortages or discrepancies immediately.
- Handle all products carefully.
- Ensure products remain ready for dispatch at all times.
8. Selligate’s Responsibilities
Selligate will:
- Maintain 99% application uptime.
- Assign merchants and delivery orders fairly.
- Avoid unnecessary territory conflicts between distributors.
- Provide technical support for the platform.
- Protect distributor information.
- Connect distributors with merchants on the network.
- Maintain transaction records.
- Communicate important operational updates.
9. Confidentiality
Distributors must keep confidential:
- Merchant information
- Customer information
- Inventory information
- Financial records
- Operational information obtained through Selligate
Confidential information may not be shared without authorization unless required by law.
10. Performance Standards
Distributors are expected to maintain:
- High delivery success rates
- Fast order fulfillment
- Accurate inventory records
- Timely delivery updates
- Excellent customer service
- Prompt reporting of operational issues
Repeated failure to meet these standards may result in penalties or suspension from the platform.
11. Liability
Distributors are responsible for products while they are in their possession.
If products are lost or damaged:
- Full compensation must be paid within 30 days.
- Failure to pay within this period attracts 10% daily interest until payment is completed.
Selligate is not responsible for injuries or damages caused by a Distributor during the performance of their duties.
12. Account Termination
Either party may terminate the partnership by providing 30 days’ written notice.
Upon termination:
- Outstanding payments must be settled.
- Assigned products must be returned within 7 days unless otherwise instructed by Selligate.
13. Dispute Resolution
If a dispute arises:
- Both parties will first attempt to resolve the matter through negotiation.
- If unresolved, the matter will be referred to the parties’ solicitors for amicable settlement.
- Where settlement is unsuccessful, the dispute may be resolved through the Nigerian courts.
14. Changes to These Terms
Selligate may update these Terms from time to time.
Material changes will be communicated before they take effect.
15. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
