These Merchant Terms & Conditions govern your use of Selligate’s warehousing, order fulfillment, delivery, and payment settlement services. By creating a merchant account or using our services, you agree to these Terms.
1. About Selligate
Selligate Technologies Limited provides e-commerce fulfillment services designed specifically for Pay-on-Delivery businesses in Nigeria.
Our services include:
- Product warehousing
- Inventory management
- Order fulfillment
- Nationwide delivery
- Automatic payment settlement
- Merchant dashboard and reporting
2. Our Services
When you use Selligate, we agree to:
- Provide access to our merchant platform.
- Maintain 99% application uptime.
- Store your inventory securely.
- Keep accurate inventory records.
- Process customer orders as quickly as possible.
- Deliver orders using our fulfillment network.
- Automatically credit your merchant wallet after successful deliveries.
- Process withdrawals from your wallet to your bank account.
- Maintain transaction records for auditing purposes.
- Keep your business and customer information confidential.
- Communicate important updates regarding your account and services.
3. Warehousing
Selligate provides secure storage for merchant inventory.
Inventory Ownership
You remain the owner of all products stored in our warehouses.
Stock Management
Inventory records are updated in real time through the merchant dashboard.
4. Merchant Responsibilities
As a merchant, you agree to:
- Deliver your inventory to any Selligate warehouse.
- Pay the cost of transporting products to our warehouse.
- Ensure products are sold within 90 days of arrival.
- Arrange the return of unsold inventory after 90 days where applicable.
- Pay the transportation cost for returned inventory.
- Pay delivery charges when customers reject orders.
- Ensure all products meet your quality standards.
- Handle all warranties, returns, guarantees, and after-sales support.
- Conduct business only through the official Selligate platform and assigned personnel.
- Provide accurate product, inventory, and customer information.
- Provide correct bank account details for settlements.
5. Demurrage Policy
Warehousing is free while your inventory continues to sell.
However:
- If a product has no completed sale for 90 consecutive days, a demurrage fee of ₦200 per day, per product applies.
- This fee may change from time to time.
- If accumulated demurrage exceeds the value of your remaining inventory, Selligate may deactivate your account and dispose of the inventory.
We recommend regularly monitoring your inventory and restocking only products with active demand.
6. Delivery
Selligate works with approved distribution partners to deliver customer orders.
We strive to:
- Deliver orders as quickly as possible.
- Keep merchants informed about delivery issues.
- Resolve delivery challenges promptly.
Delivery times may occasionally be affected by circumstances outside our control.
7. Payment Settlement
After a successful Pay-on-Delivery order:
- Customer payment is received.
- Your merchant wallet is credited automatically.
- You may withdraw funds to your registered bank account.
Transaction history is available through your merchant account.
8. Fees
Merchants agree to pay applicable service fees for:
- Warehousing
- Delivery
- Order fulfillment
- Payment settlement
Fees may change due to market conditions. Where this happens, Selligate will provide at least 30 days’ notice before the new pricing takes effect.
Invoices are issued monthly and are payable within 15 days.
9. Confidentiality
Both Selligate and the Merchant agree to protect confidential information, including:
- Customer information
- Business information
- Inventory records
- Financial records
These obligations continue even after the partnership ends.
10. Liability
Selligate is not responsible for losses resulting from:
- Incorrect inventory information supplied by the merchant.
- Incorrect order details supplied by the merchant.
- Delivery delays caused by events beyond our reasonable control, including customer unavailability, severe weather, natural disasters, or industrial actions.
Each party is responsible for losses arising from its own negligence or breach of these Terms.
11. Account Termination
Either party may terminate this partnership by providing 30 days’ written notice.
Upon termination:
- Outstanding fees remain payable.
- Inventory must be collected or will be made available for pickup within 7 days.
12. Dispute Resolution
If a dispute arises:
- Both parties will first attempt to resolve it through negotiation.
- If unresolved, the matter will be referred to the parties’ solicitors for amicable settlement.
- If settlement cannot be reached, either party may seek resolution through the Nigerian courts.
13. Changes to These Terms
Selligate may update these Terms from time to time.
Where changes materially affect merchants, reasonable notice will be provided before the changes become effective.
14. Governing Law
These Terms are governed by the laws of the Federal Republic of Nigeria.
